Red House International School, a group that offers excellence in international bilingual education, has announced the acquisition of Systemic Bilingual.

With a successful history of over 20 years, Systemic is the first bilingual education methodology developed in Brazil, and offers one of the best and most modern methods in international bilingual education for more than 21.000 students.

BRS advised Alfa Group on the sale of 51% of Alfacon's shares to Abril Educação (currently named Somos Educação). Alfacon provides online and in-person courses to civil service entrance exams.

Setec group, one of the largest French engineering and consulting groups, acquired 100% of MWH Brazil, a subsidiary of the American multinational MWH International.

The new company was renamed SETEC Hidrobrasileira and it is involved in infrastructure and transport systems, water and waste management.

St. James´ International School has announced the sale to Positivo Educacional, one of the largest Education groups of Brazil.

Pioneer in Bilingual Education in the South of Brazil, St. James is a leader in university admissions of Brazilian graduate students abroad, with students placed in Harvard, Stanford, MIT, UPenn, Berkeley, among other distinguished institutions worldwide.

Colegio Bertoni, a leading group of schools in the Southwest region of Brazil has received investment from an international fund. With the investment the founders aim to develop a national network of schools.

In September 2019 the English group Cognita Schools acquired 100% of the shares of Maxi group of schools in Londrina: Colégio Maxi, Colégio NeoDNA and New Med.

Cognita has 76 schools in Europe, Asia and Latin America, employs over 7,500 teachers and other employees to support over 50,000 students.

In March 2015 Somos Educação acquired 100% of the shares of Colégio Maxi Cuiabá.

In October 2011 Abril Educação (currently Somos Educação) acquired 100% of the shares of Sistema Maxi de Ensino.

CVC Brazil acquired 100% of the shares of Experimento Intercambio, recognized as the top international exchange program agency of Latin America.

Eleva Educação acquired Nota 10 group, the largest K-12 company of the State of Mato Grosso do Sul, with schools in Campo Grande, Dourados and Ponta Porã.

Eleva Educação, one of the largest education groups in the country, acquired Master group of schools in Cuiaba, a leading school in admitting Medicine students in the state of Mato Grosso.

BRS Partners has advised Alfa Group on this second transaction, now on the sale of Colegio Alfa Cascavel group of schools to Eleva Educação.

Colegio Alfa is a leading school in the preparation of students for Brazilian universities entrance exams.

Cultura Inglesa Londrina and Cultura Inglesa Curitiba have merged their operations in the State of Parana.

Both are pioneering firms in English teaching for kids, teens and adults in the cities of Londrina and Curitiba, respectively.

BRS Partners advised Over Colégio e Curso on the sale to Inspira Rede de Educadores, the fourth largest Brazilian K-12 group.

With outstanding academic results, Over is a prominent education institution in the northeast of Brazil.

It is comprised of 7 schools in the States of Rio Grande do Norte and Paraíba, with students from kindergarten to high school.

Cinthia Ribeiro

Ms. Ribeiro has over twenty years of experience as M&A advisor. She has acted as a financial and strategic advisor on the buy and sell sides, mergers, initial public offerings and strategic alliances across different industries such as education, technology, food, agribusiness, textile, security, logistics, engineering services, cosmetics and pharmaceutical.

Before founding BRS she was a partner at IGC Partners (2001-2009), a leading Brazilian M&A boutique where she advised Brazilian and international companies on domestic and cross-border M&A transactions.

She holds a Masters from University of Warwick (UK) in International Economic Law (Chevening Scholar) and has executive education courses from Harvard University and University of Berkeley.

Cristhiane Liogi

Ms. Liogi advises clients on Mergers and Acquisitions processes for the sectors of education, health, technology and manufacturing.

Before BRS, she worked for 10 years as responsible for the Financial and Costs area at multinational Atlas Schindler. She has also worked in the financial management of companies in the education, furniture and heavy equipment industries.

She is a Chartered Financial Analyst – CFA® Level I, a Certified Financial Planner – CFP® and has an MBA in Strategic Business Management from FGV- Fundação Getúlio Vargas.

Lucas Nascimento

Mr. Nascimento advises on Mergers and Acquisitions processes across various industries, including education, technology and tourism. He is focused on advising mid-sized companies and startups.

He also provides financial and strategic consultancy to startups in different segments, such as fintechs, foodtech, construtech and agtechs at INTUEL (Incubadora Internacional de Empresas de Base Tecnológica da UEL).

He is a graduate in Economics from the State University of Londrina.

Tony Saad

Founding partner of BRS. Besides his experience in Mergers and Acquisitions, Mr. Saad has a long track record of providing strategic and financial advisory services to companies, cooperatives and family-owned groups in the agribusiness industry. He also mentors startup firms.

Before founding BRS he was the managing partner of Global Corretora de Cereais (a commodity brokerage house) and later coordinated the commodity and currency trading department of Link Investimentos in Curitiba, a leading Brazilian futures brokerage firm.

He holds an MBA in Agribusiness by FGV – Fundação Getulio Vargas and CPA 20 from ANBID (Brazilian Association of Investment Banks).

Chantal Gouvea

Ms. Gouvea has over twenty years of experience working in investment banks in Brazil and the U.S., having closed over US$1.1 billion in domestic and cross-border deals of M&A, Strategic Alliances and Initial Public Offerings. She has advised clients among the TOP 500 largest U.S companies in M&A, Finance, Strategic Planning, Economic and Financial analysis, Corporate disputes and Business Litigation.

Before joining BRS she was a partner at IGC Partners, where she advised Brazilian companies on mergers and acquisitions, IPOs, corporate sales and cross-border negotiations.

Mrs. Gouvea holds an Executive MBA with Red McCombs School of Business, Austin, Texas (USA).
